These Terms apply to you as an Affiliate in of the Incline IQ Affiliate Program. The purpose of these Terms is to explain how it works and to introduce the basic terms and conditions of our Affiliate Program. Please note that throughout these Terms, "we", "us" and "our" refer to Incline IQ, and "you", "your" and "yours" refer to the Affiliate.
By registering to be an Affiliate in the Incline IQ Affiliate Program, you agree to be bound by the following terms and conditions.
1.1. To become an Affiliate, you must complete and submit the online application form. You must provide your name, a valid email address, and any other information requested to complete the registration process. Your login can only be used by one person; Single sign-on shared by multiple people is not allowed. Once you have registered for the Affiliate Program, you will be assigned a unique Affiliate Code. You are permitted to place links, banners, or other graphics with your Affiliate Code on your site, in your emails or in other communications. To enable accurate tracking, reporting and accrual of referral fees, we will provide you with special link formats that will be used on all links between your site and the Incline IQ site. You must ensure that each of the links between your site and the Incline IQ site correctly uses such special link formats. Links to the Incline IQ site placed on your site in accordance with these terms and which effectively use such special link formats are referred to as "Special Links". You will get referral fees only with respect to registrations on an Incline IQ product site that occur directly through special links.
1.2. Your site is not suitable for our Affiliate Program if it promotes illegal activities, violence, discrimination for any reason, incorporates any material that infringes or assists others to infringe any copyright, trademark, or other intellectual property rights, or violates the law, or is in any way illegal, harmful, threatening, defamatory, obscene, harassing or racially, ethnically, or otherwise objectionable to us. We reserve the right to deny an Affiliate, in our sole discretion.
1.3. You are prohibited from creating or designing your website, social media profile or any other profile in a manner that resembles the Incline IQ website or that leads customers to believe that you are Incline IQ.
1.4. As a member of the Incline IQ Affiliate Program, you will have access to the Affiliate account, where you can monitor the various profile options.
1.5. Incline IQ reserves the right, at any time, to review your location and request that you change or use it to comply with the guidelines provided.
1.6. The Affiliate is an independent entity, and the Incline IQ Affiliate Program does not create any partnership, joint venture, franchise, sales representative or employment relationship between the Affiliate and Incline IQ. You have no authority to make or accept any offer or representation on our behalf.
1.7. You shall not make any statement on your site that contradicts anything in this section.
1.8. You maintained the security of your account and password. Incline IQ cannot and will not be liable for any loss or damage for your failure to comply with this security obligation.
1.9. You may not use the Affiliate Program for any illegal or unauthorized purpose. You must not violate any laws in your jurisdiction.
2.1. We have the right to monitor your website or social media at any time to determine whether you are following the terms and conditions herein.
2.2. Incline IQ reserves the right to terminate your participation in the Incline IQ Affiliate Program immediately if you abuse this program in any way.
2.3. Incline IQ shall not be liable to you for any failure by you or anyone you refer to you to use the special links or misspell your affiliate code, even to the extent that such failure may result in a reduction of the amounts that would otherwise be paid to you under these terms.
We will provide you with a special Affiliate Profile where you can monitor the assorted options displayed. You will also receive the marketing materials you will need to sell Incline IQ successfully.
4.1. When someone you refer to us applies for an account, you will get a percentage, not only on the initial sale of monthly and annual plans, but also on the recurring payments you make. In order for the sale of a Product to be eligible to earn a referral fee, the customer must click on a Special Link from their site, email or other communications to the Incline IQ Site and register for the product during that session. Your referrals must go through your affiliate link and register with Incline IQ within 30 days of the first visit. If they return to Incline IQ after the 30-day period, the commission for their purchase will be assessed if applicable.
4.2. There is one type of referral fee that can be earned: Commission. The current commission starts with 30% off each sale. Commissions are paid after reaching $100 and claiming payment. We will only pay fees for links that are automatically tracked and reported by our systems. We will not pay commissions if someone says they signed up or someone says they entered a referral code if our system did not track you. We can only pay commissions on deals generated through special links with the appropriate format that were automatically tracked by our systems. We reserve the right to disqualify commissions earned through fraudulent, illegal, or excessively aggressive and questionable marketing or sales methods.
4.3. In order for you to receive affiliate commissions, someone you recommend must make payments through the Incline IQ application, using a valid means of payment.
4.4. Commissions for you are paid by the means of payment you indicated. We cannot send checks, cash, or credit to your credit card. It is necessary to have an account to receive commissions.
4.5. As long as your current affiliate earnings exceed $100, you will be paid within 20 days of claiming. To claim payment, you may be required to manually issue the invoice. Payment will not be made until the corresponding invoice is received.
4.6. If our payment processor charges payment processing fees for commission payments, you are responsible for paying these fees.
4.7. If prohibited due to a breach of these Terms, we will not pay you any current payments on your balance or future payments for purchases from your referral. All payments will stop immediately. We also do not provide refunds if you abuse our Affiliate Program.
5.1. You or we may terminate this Affiliate Program at any time, with or without cause, by written notice to the other party. Written notification shall be in the form of an e-mail.
5.2. If you do not follow the terms and conditions herein, we reserve the right to cancel your participation in the Incline IQ Affiliate Program. We will make every effort to contact the Affiliate prior to the ban. However, we reserve the right to remove any violator from our Affiliate Program without notice, and at the first occurrence of such prohibited behavior.
5.3. We may modify any of the terms and conditions herein at any time in our sole discretion. In such a case, you will be notified by email. If any modification is unacceptable to you, your only option is to terminate the Affiliate Program. Your continued participation in the Incline IQ affiliate program will indicate your acceptance of the changes.
6.1. "Spamming" or unsolicited commercial emails are unacceptable to us and could damage our name. You can send emails to your users to promote Incline IQ as long as the recipient is a customer or subscriber of your services or website, and the recipients have the option to unsubscribe. At all times, you must clearly present yourself as independent of Incline IQ. If we learn that you are incorrectly promoting us, we will consider that cause for immediate termination of your participation in the Incline IQ Affiliate Program.
6.2. Affiliates who bid on their pay-per-click campaigns on keywords such as Incline IQ, and/or any similar or misspelled alteration thereof, will be considered trademark infringers and be banned from the Incline IQ affiliate program.
6.3. The Affiliate will not use any online advertising service (i.e. Google AdWords, Bing Ads, etc.) to promote Incline IQ or act on our behalf, nor use any technology to abuse our Affiliate Program, including but not limited to an application that causes the overwriting of affiliate commission tracking cookies; intercepts searches to redirect traffic through installed software; set tracking cookies of commissions by loading the Incline IQ site in Iframes, hidden links and automatic pop-ups that open the Incline IQ site, etc.
6.4. Affiliates will not serve advertisements that directly direct or automatically redirect to the Website inclineiq.com OR any subpages or subdomains, including affiliate links.
7.1. We will not be liable to you in respect of any subject matter of this agreement under any contract, negligence, tort, strict liability or other legal or equitable theory for any indirect, incidental, consequential, special, or exemplary damages (including, without limitation, loss of revenue or goodwill or expected profits or loss of business), even if we have been advised of the possibility of such damages. further, notwithstanding anything to the contrary contained in this agreement, in no event shall Incline IQ's cumulative liability to you arising out of or relating to this agreement, whether based in contract, negligence, strict liability, tort, or other legal or equitable theory, exceed the total commission fees paid to you under this agreement.
8.1. These Terms shall commence upon you becoming an Affiliate and shall continue unless terminated hereunder.
